License and purchase terms

Perpetual licenses, purchases and installer responsibilities.

Your license at a glance

One license covers one physical charger through one Phaeton instance. Home and commercial licenses are perpetual, with no subscription. An approved installer can commission a license for its customer; the customer owns the entitlement.

These terms cover direct purchases, installer credits and customer handoffs. Version: perpetual-v1.1. Existing issued free and paid perpetual licenses retain their rights. The terms recorded for a purchase or handoff are not replaced merely by publishing a later version.

1. Product and license grant

Virtunet B.V. grants the named customer a non-exclusive perpetual right to run Phaeton for the licensed charger. Software intellectual property remains with Virtunet and its licensors. Each physical charger requires a separate entitlement and isolated instance, including chargers sharing one GX.

A home license permits private household use. A commercial license permits use by a business or organization of the implemented product: local charging controls, supported charger/GX integration and a web interface. It does not grant redistribution, OEM or sublicensing rights. It does not include site-wide load allocation, fleet billing or a remote monitoring service. Check the published compatibility information before purchase.

The zero-power demo is free and simulated. It grants no physical charging rights and consumes no license or installer credit.

2. Prices, payment and delivery

The selected offer and total are shown before payment. All payments are in EUR. Direct home prices include applicable VAT; business and installer prices exclude VAT, which is added where applicable. Business reverse charge requires verified eligibility. Checkout is available only for supported EU VAT territories.

A license or pack is delivered when confirmed payment is fulfilled in the portal. A payment redirect alone does not deliver it. You can view order status and the invoice from your purchase. A paid order awaiting verification is handled through licensing/payment assistance.

3. Existing free licenses and additional home chargers

Existing issued free licenses remain permanent. Before publication of the paid-first policy, the existing one-free-license policy continues. At publication, eligible existing verified home accounts without a free entitlement are recorded once and receive a 30-day claim window. The portal shows your eligibility and deadline. Accounts outside that recorded group must purchase their first license after publication.

Additional-home pricing requires a valid first or free home entitlement for the same declared household. Demo, commercial, refunded and additional-only entitlements do not qualify. An eligible free claim is offered before a first-license purchase. Refunding a qualifying first license preserves additional licenses already purchased, but a new qualifying first license is needed before another discounted purchase.

4. Ownership and installer access

The entitlement belongs to the named household or commercial customer. Approved installers are expressly authorized to commission home licenses for private households, acting with the customer's authority. This does not turn the household's use into commercial use.

Before customer handoff, installer access covers only the specific licenses commissioned through that handoff. Claim links expire after seven days and can be replaced; link expiry or delayed claim never expires a license. A verified customer can recover a pending handoff through the portal or support without the original installer, accept the applicable terms and choose whether installer access continues.

The customer can remove or appoint an installer without buying another license, changing the device binding or reactivating. Actual ownership transfers and corrections to a nominated customer after activation require an audited support process. Neither process resets device-replacement counters.

5. Installer purchases and responsibilities

Installer packs are wholesale purchases from Virtunet. The installer is the seller to its customer, issues its own customer invoice and independently chooses its resale price. No marketplace payout or commission split is included. Active partner managers may buy packs and redeem credits; members may commission assigned licenses within their access rights but cannot buy packs, spend credits or change ownership.

Credits do not expire. Home, additional-home and commercial credits are separate and redeem for exactly one matching customer license each. Additional-home credits require the same household eligibility as direct purchases. Credits are not cash or freely transferable balances.

At redemption the manager names the intended customer and installation, confirms authority to commission and accepts these terms on behalf of the installer. The installer must give the customer the license terms, compatibility information and claim link, record the customer delivery date, explain how to obtain ownership and choose management access, and protect customer data.

The installer must provide the advertised 30-day consumer software-license refund offer from delivery to its household customer, in addition to statutory rights. The customer requests this refund from the installer as seller. A recorded customer return and cancellation of future portal issuance rights are required before support restores the original credit. Virtunet does not refund the installer's customer directly. Business pack purchases have no automatic consumer-style refund; documented operator exceptions retain the original payment and credit history. A pack dispute may freeze unspent credits for review without automatically disabling deployed customer licenses.

6. Binding, replacement and offline operation

A signed license is bound to its installation ID and hashed device fingerprint and is verified locally. One entitlement allows one active installation. Home self-service device replacement is limited to one transfer per rolling 12 months and requires the existing installation to be safely releasable under the portal's reachability checks. Unreachable or failed devices require support review. Replacement reuses the entitlement; you must cease using the old installation.

Online activation and offline request signing produce a local license. Online-activated installations send periodic licensing heartbeats for visibility and abuse detection; offline-activated installations do not. A valid perpetual installation continues through portal or heartbeat outages. An already issued offline license cannot be remotely retracted. Contractual cancellation or a refund can prevent future portal activation or replacement; it does not introduce a heartbeat kill switch.

7. Updates and assistance

The license includes current update access without update expiry. There is no promise of lifetime feature upgrades. Discretionary feature development does not limit any obligation to inform consumers about and supply conformity or security updates required by applicable law.

Licensing and payment assistance is included. Setup support, an annual partner service, an SLA and guaranteed response or resolution times are not included. This does not restrict mandatory remedies for defective or non-conforming software.

8. Consumer refunds and withdrawal

For direct home purchases, you can request a software-license refund within 30 days of portal fulfillment. Open your purchase and choose the online withdrawal/refund action, review the request and confirm it. You receive a durable acknowledgment; request confirmation is not confirmation that money has settled. You can also contact Virtunet using the details below and provide your purchase reference.

This offer is additional to statutory withdrawal, conformity and other remedies, which may apply beyond 30 days. Purchase, activation and use do not collect or imply a withdrawal-rights waiver. Refunds return through the original payment process; the portal shows pending, successful or failed processing separately. Stop using a canceled license and delete its license file. Existing offline files are not remotely revoked.

If you bought from an installer, contact that installer as your seller. A business purchase does not receive the automatic consumer offer. Deactivating a device alone does not request a refund. There is no subscription to cancel.

9. Restrictions and termination

Do not copy license rights between installations, circumvent licensing, forge or redistribute signed licenses, or use home licenses for business operations. Redistribution, resale and commissioning are permitted only within Virtunet's authorized installer arrangements. Restrictions on modification, reverse engineering or interoperability do not override mandatory law or the separate licenses of third-party components.

Perpetual rights do not end because an installer changes, a handoff is delayed, a heartbeat fails or you decline later terms. A material breach can lead to termination subject to applicable law, notice and an opportunity to remedy where required. Refund cancellation and termination require you to cease the affected licensed use. They do not create remote control over an offline installation.

10. Conformity, liability and law

Phaeton is supplied for its documented supported use; compatibility with every charger or configuration is not promised. Nothing in these terms excludes mandatory conformity, security-update, withdrawal or other consumer remedies, or liability that cannot lawfully be excluded. To the extent permitted by law, Virtunet does not accept liability for indirect or consequential business loss. The Software EULA and applicable commercial terms govern other software restrictions, with mandatory rights and the perpetual purchase commitments above preserved.

Dutch law applies without depriving consumers of mandatory protections in their country of habitual residence. Consumers retain applicable rights concerning the competent court. Other disputes are submitted to the competent Dutch court.
