# Phaeton End User License Agreement Version perpetual-v1.1, effective 7 September 2026. This agreement governs installation and use of Phaeton software, documentation and supplied updates (the Software) from Virtunet BV (Virtunet). Read it together with the license and purchase terms presented in the licensing portal and, where applicable, the [commercial terms](COMMERCIAL-LICENSING.md) and [installer partner terms](PARTNER-TERMS.md). The terms accepted for the original purchase or grant remain recorded; this revision does not revoke or shorten an existing issued free or paid perpetual license. Mandatory legal rights prevail. ## 1. Software ownership and license grant The Software is licensed, not sold. Its intellectual property remains with Virtunet and its licensors. The named customer receives a non-exclusive perpetual right to use the Software for one physical charger through one Phaeton instance, subject to the applicable home or commercial entitlement. Each additional charger requires its own entitlement and isolated instance, even on the same GX device. A home license permits private, non-commercial household use. A commercial license permits the implemented product to be used by a business or organization. It does not add features or grant general redistribution, OEM or sublicensing rights. Approved installers may expressly commission home licenses for private households with customer authority under the partner terms. The installer's paid commissioning work does not change the household's license tier. ## 2. Free demo and the home transition The zero-power demo permits free simulated operation only. It grants no physical charging rights, creates no runtime entitlement and spends no installer credit. Physical deployments require a valid license. Existing issued free entitlements remain permanent. Until the paid-first policy is published, the existing one-free-license policy continues. At publication, eligible existing verified home accounts without their free entitlement are recorded once and have 30 days to claim it. The portal displays individual eligibility and the deadline. Accounts outside the snapshot must purchase a first license after publication. The publication time is recorded by the portal; this document's preparation date is not that time. Additional-home pricing requires a valid first or free entitlement belonging to the same declared household. Demo, commercial, refunded and additional-only entitlements do not qualify. Refunding a first license preserves already purchased additional licenses, but another qualifying first license is needed before a further discounted purchase. An eligible free claim is offered before a paid first license purchase. ## 3. Customer ownership, installer access and replacement Entitlements belong to the named household or commercial customer. Installer management is separate, limited and revocable. Before customer claim an approved installer may activate online or sign an offline request for the specific licenses it commissioned through that handoff. A seven-day claim-link expiry does not expire the license. Verified customers can recover pending handoffs through the portal or support without the original installer and decide whether installer access remains. Changing installers does not consume a credit, alter the device binding or require reactivation. Actual ownership transfers and correction of a nominated customer after activation require an audited support process. Existing partner-owned commercial entitlements remain valid legacy records until an authorized conversion; no customer is invented and no second charge is required for conversion. Device replacement is a separate operation that preserves the entitlement and its history. Home self-service replacement is limited to one transfer per rolling 12 months and requires the existing installation to be safely releasable under portal reachability checks. Failed or unreachable devices require support review. Stop using the old installation after replacement. Ownership and installer changes do not reset transfer counters. ## 4. Local license operation The signed license is bound to the installation ID and hashed device fingerprint and is verified locally. One entitlement permits one active installation. A valid perpetual installation keeps working through portal and heartbeat outages. Online activation uses periodic licensing heartbeats for visibility and abuse detection; offline activation does not require them. An issued offline license cannot be remotely retracted. A refund or contractual termination ends the affected usage rights and can prevent future portal issuance or replacement, but does not introduce a heartbeat kill switch. Stop using a canceled license and delete its license file. ## 5. Updates and assistance Current update access is included without update expiry. No subscription, annual partner fee or lifetime feature-upgrade commitment is introduced. Virtunet may choose which discretionary features or major upgrades to develop or offer. This does not limit obligations to inform consumers about and supply updates, including security updates, necessary for conformity under applicable law. Licensing and payment assistance is included. Setup support, maintenance services, an SLA or guaranteed response/resolution times are not included. Mandatory conformity, security and other consumer remedies remain unaffected. ## 6. Purchases, refunds and withdrawal The selected offer and final amount are shown before payment, in EUR. Direct home prices include applicable VAT; business and installer prices exclude VAT, which is added where applicable. Business reverse charge requires verified eligibility. Payment fulfillment delivers the entitlement or credits in the portal; a success redirect alone does not grant them. Direct home customers may request a software-license refund within 30 days of fulfillment through the purchase's online withdrawal/refund action or by contacting Virtunet with the purchase reference. Review and confirm the request to receive a durable acknowledgment. Request acknowledgment and payment settlement are distinct; the portal reports pending, successful and failed processing separately. Refunds return through the original payment process. This offer supplements statutory withdrawal, conformity and other rights, including remedies that apply after 30 days. Purchase, activation and use do not require or imply a withdrawal-rights waiver. Deactivating a device alone does not request a refund. There is no subscription to cancel. Customers purchasing from installers request refunds from their installer as seller. The installer must provide the advertised 30-day software-license refund offer from customer delivery, in addition to statutory remedies. The partner terms set out recorded customer returns and corresponding credit restoration. Business purchases do not have an automatic consumer-style refund offer. ## 7. Restrictions and third-party components Except as mandatory law permits or written installer authorization provides, do not: - Copy or distribute the Software or license rights to other installations, sell, sublicense, rent or bundle them, or grant rights beyond the purchased entitlement. - Modify the Software, remove proprietary notices, forge license files or circumvent licensing and device-binding mechanisms. - Reverse engineer or decompile the Software beyond what applicable law permits, including mandatory interoperability exceptions. - Use a home license for business operations or violate applicable law or third-party rights. Third-party components retain their separate license terms in [THIRD_PARTY_NOTICES.md](THIRD_PARTY_NOTICES.md). Nothing here removes rights granted by those licenses. Receiving the Software from a distributor alone does not grant commercial use or resale rights. ## 8. Conformity and liability Phaeton is supplied for its documented supported use. Compatibility with every charger or configuration and uninterrupted, error-free operation are not promised. The license does not include site-wide load allocation, fleet billing or a remote monitoring service. Verify compatibility and follow supported installation guidance. To the extent permitted by applicable law, the Software is otherwise supplied as is, and Virtunet excludes liability for indirect or consequential business loss, including lost profit, revenue, data or business interruption. For personal use, to the extent lawful, aggregate liability is limited to the greater of EUR 50 or the amount paid to Virtunet for the affected Software in the 12 months preceding the event; an applicable separate commercial agreement governs any commercial cap. These qualifications, exclusions and limits do not remove mandatory conformity, security-update, withdrawal or other consumer remedies, or liability that cannot lawfully be excluded or limited. No clause requires a consumer to waive such rights. The Software is not certified for safety-critical or life-support use. ## 9. Termination and later terms Perpetual rights do not end because an installer changes, a handoff is delayed, a heartbeat fails or later terms are declined. A material breach may result in termination subject to applicable law, notice and an opportunity to remedy where required. On lawful termination, stop the affected use and delete its license files. A later publication does not retrospectively replace the terms recorded for an existing purchase or shorten an issued perpetual grant. ## 10. Law and contact Dutch law applies without depriving consumers of mandatory protections in their country of habitual residence. Consumers retain applicable rights concerning the competent court.
