# Commercial licensing

Version perpetual-v1.1, effective 7 September 2026.

A commercial license grants a named business or organization perpetual use of
Phaeton for one physical charger through one isolated instance. The direct offer
is **EUR 99 excluding VAT**, with applicable VAT added and verified business reverse
charge where eligible. All payments are in EUR. Orders are restricted to qualified
EU VAT territories. The [EULA](EULA.md) and portal purchase terms apply.

Commercial use includes business, organizational and institutional charging
operations. It licenses the implemented local controls, supported charger/GX
integration and web interface. It does not include site-wide load allocation, fleet
billing, remote monitoring services, setup support or an SLA. Current update access
is included without update expiry or a promise of lifetime feature upgrades.
Mandatory remedies and security/conformity obligations remain unaffected.

An approved installer may instead redeem one commercial credit for a named customer
under the [partner terms](PARTNER-TERMS.md). The customer owns the resulting
entitlement; installer management access is separate and revocable. Changing the
installer does not require repurchase, reactivation or a changed device binding.
An approved installer may also commission **home** licenses for private households
with customer authority; that activity does not require the household to buy a
commercial license.

Existing partner-owned commercial entitlements remain valid as explicitly marked
legacy records. An audited, support-assisted conversion to a named customer does
not charge for the license again or rewrite historical signed documents. Actual
ownership transfers and post-activation customer corrections remain support-assisted.
Device replacement is separate and retains existing policy and transfer counters.

Business purchases have no automatic consumer-style refund. An agreed exception
retains original payment and licensing provenance. Refunds or contractual
cancellations affect future portal issuance rights; they cannot remotely retract an
already issued offline license. Valid perpetual operation survives portal outages.

This license grants no general redistribution, sublicensing, OEM, hosting or
white-label rights. Distributor, reseller or OEM permissions outside the approved
installer workflow require a separate written agreement with Virtunet BV. Receipt
of the Software from a third party alone does not grant these rights.
