# Installer partner terms Version perpetual-v1.1, effective 7 September 2026. These terms supplement the [EULA](EULA.md), [commercial terms](COMMERCIAL-LICENSING.md) and the terms presented and accepted in the portal. ## Wholesale purchases An approved installer buys product-specific license credits from Virtunet BV. The installer is the seller to its own customer, issues that customer an invoice and independently sets the resale price. Virtunet does not collect the installer’s customer payment or provide marketplace payouts. All payments are in EUR. The purchased offer, tax and total are shown before payment. Credits do not expire, are not cash or freely transferable balances, and each redeems for exactly one matching customer license. The types are separate. Additional-home credits require a valid first/free home entitlement for the same declared household; demo, commercial, refunded and additional-only entitlements do not qualify. ## Commissioning and customer ownership Active partner managers may purchase and redeem credits. Members may view and commission assigned licenses within their access rights but cannot buy packs, spend credits or change ownership. No partner receives unrestricted complimentary issuance. At redemption the manager must name the intended customer and installation, confirm authority to commission for that customer and accept the applicable terms. Approved installers are expressly authorized to commission a home license for a private household. That paid service does not change the household's license tier. The customer entitlement, commissioning access and handoff are created together. One credit covers one charger/instance, including when several share one GX. The installer may activate or sign an offline request immediately. Provisional access is limited to the specific entitlement created through the handoff, not the customer's other installations. Give the customer the compatibility information, license terms and claim link, record the customer delivery date, and explain how to claim ownership and choose continuing installer access. Protect customer details and use them only for authorized commissioning, delivery and management purposes. Claim links expire after seven days and can be replaced. Expiry or delayed claim never expires the license. Verified customers can recover a pending handoff without the original installer through the portal or support. After claim, the customer controls installer access. Removing or appointing an installer costs no credit and does not change binding or require reactivation. Actual ownership transfers and correction of the nominated customer after activation require audited support handling. They do not reset device-replacement counters. An installer may not represent itself as the owner of a customer's redeemed license or condition the license's continued runtime use on a service renewal. ## Customer returns and pack disputes Provide household customers the advertised 30-day software-license refund offer, measured from delivery to that customer, in addition to statutory withdrawal, conformity and other remedies. Do not obtain a waiver of withdrawal rights as a condition of license activation. The customer requests a refund from the installer as seller; Virtunet does not refund that customer directly. Separate installation services must be described and priced clearly under the installer's customer contract and remain subject to applicable consumer law. Record the original redemption, customer delivery date, customer return and reason, and submit the return to Virtunet's support process. Restoration requires cancellation of the entitlement's future portal issuance rights and preserves the original credit and payment provenance. It does not create an unrestricted replacement credit type. Tell the customer to cease use and delete the canceled license file. Do not promise remote revocation: an issued offline file cannot be retracted by Virtunet. Business pack purchases have no automatic consumer-style refund. Documented operator exceptions preserve the original order and ledger. A payment dispute can freeze the pack's unspent credits for review without automatically disabling deployed customer licenses. Refunding a first home license does not cancel already purchased additional licenses, but future discounted purchases require a new qualifying first license. ## Product commitments and assistance Current update access and licensing/payment assistance are included. No setup support commitment, SLA, annual service or lifetime feature-upgrade promise is included. Mandatory conformity, security-update and consumer remedies remain intact. Commercial licenses grant commercial use of the implemented product, without adding site-wide load allocation, fleet billing or remote monitoring services. Existing valid perpetual and offline licenses remain valid through portal outages and installer changes. Existing partner-owned commercial entitlements can be converted to named customers through audited support without a second license charge.
